We provides representation for all transactional real estate matters, including the representation of owners, developers and operators of industrial, commercial, retail and residential real estate, located both in New York and outside of New York, including shopping centers, office buildings, apartment houses and garden complexes, cooperatives, condominiums, one-family houses, in property sales, acquisitions, financing, construction, existing rental properties and real estate related litigation.

  We represent both lenders and borrowers in conjunction with most aspects of financing; including construction lending, conventional permanent loan financing, and more complicated long-term lending involving mortgage participation, and shared appreciation mortgages.

  We are actively engaged in sophisticated leasing, representing owners of major office buildings, retail outlets, restaurants, banks, garages and shopping center developers throughout the United States. We routinely represent tenants in lease negotiations for office space and other lease transactions.

  The firm regularly counsels a variety of businesses with respect to all phases of corporate and commercial practice, both on a transactional and on-going basis.  We are involved in all traditional aspects of corporate law and business, as well as matters relating to evolving technologies and developments in the law.

  The firm is actively involved in advising clients with respect to the acquisition and disposition of businesses. We regularly engage in the negotiation and preparation of commercial agreements and have extensive experience in the purchase and sale of businesses, financings and the preparation of shareholders’ agreements, voting trusts, stock option agreements, limited liability company operations agreements, other business organizational matters and instruments relating to the relative positions of management and minority interests.

  In addition to traditional corporate work, the firm handles a wide range of commercial law matters including employment agreements, equipment purchases and leases, licensing agreements, distributor agreements and franchise agreements.
